This Membership Agreement (“Agreement”) is entered into on this ______ day of ______, 20__, by and between the undersigned (hereinafter referred to as “Member”), and ThaiSprout Cooperative Community, a cooperative duly organized under the laws of Thailand (hereinafter referred to as “ThaiSprout”).
1. **Definitions**
1.1. **Membership**: Membership refers to the Member’s and ThaiSprout’s relationship.
1.2. **Services**: Services refer to all offerings by ThaiSprout as outlined in the introductory section of this Agreement and any others as may be introduced by ThaiSprout.
2. **Membership and Services**
2.1. The Member hereby applies for membership in ThaiSprout and agrees to abide by its bylaws and amendments.
2.2. The Member agrees to utilize the Services as per the terms outlined in this Agreement, any additional service agreements, and as per ThaiSprout’s regulations and policies.
3. **Terms of Services**
3.1. **Social Media Platform**: Member agrees to abide by ThaiSprout’s rules and guidelines for content and communications on the platform. Members also agree to refrain from any illicit activities or any activities that may harm ThaiSprout’s reputation.
3.2. **Financial Services**: Member must provide accurate and complete information for opening and maintaining a ThaiSprout financial services account. Member agrees to comply with Thai laws and ThaiSprout policies regarding financial transactions and anti-money laundering.
3.3. **Marketplace Services**: Members using the ecommerce marketplace, event marketplace, or job opportunity marketplace are subject to specific agreements and terms of use for those platforms.
3.4. **Startup Accelerator and Incubator**: Participation is subject to acceptance by ThaiSprout and adherence to the respective program terms and conditions.
3.5. **BOI Smart Visa Services**: ThaiSprout will provide assistance with smart visa services as allowed under Thai law and Board of Investment (BOI) regulations.
4. **Membership Fees and Payment**
4.1. The Member agrees to pay an annual or monthly membership fee, as may be determined by ThaiSprout from time to time.
4.2. Any other fees related to the Services will be communicated and billed as appropriate.
5. **Termination of Membership**
5.1. ThaiSprout may terminate this Agreement if the Member violates any provisions or for any other valid reason after notifying the Member.
5.2. The Member may terminate this Agreement by notifying ThaiSprout and discontinuing use of all services.
6. **Confidentiality**
6.1. The Member acknowledges that during the term of this Agreement, it will have access to and become acquainted with various confidential information. The Member agrees not to disclose any confidential information without the written consent from ThaiSprout.
7. **Governing Law and Dispute Resolution**
7.1. The laws of Thailand will govern this Agreement. Any disputes will be resolved through mediation or arbitration in Thailand or by the Thai courts as a last resort.
By signing below, the Member acknowledges they have read, understood, and agree to all terms and conditions of this Agreement.
